2.  Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Website or engage our services. By using the Website or contacting us, you represent and warrant that you meet these eligibility requirements. Our services are designed for business and professional use, not personal or consumer use. By engaging us, you represent that you are acting on behalf of a business, government entity, or other organization.

3.  Description of Services

Consilium provides advisory consulting services across the following primary lanes:

  • Client Access Package — retained access to senior technology and security advisory
  • Fractional CIO & CISO Advisory — virtual chief information officer and chief information security officer engagements
  • Decision Clarity Assessment — fixed-scope diagnostic and decision-support engagements
  • Focused Improvement Work — bounded, scoped advisory engagements

The specific scope, deliverables, timeline, and fees for any advisory engagement are governed by a separate written Statement of Work or engagement agreement executed between Consilium and the client. These Terms govern your general use of the Website and our communication channels; they do not constitute an engagement agreement.

4.  Pattern Calls and Informational Meetings

A Pattern Call is a 15-minute introductory conversation offered free of charge to qualified prospects. Pattern Calls are not advisory engagements and do not create a consultant-client relationship. Nothing said during a Pattern Call constitutes professional advice you may rely on without further engagement.

We may decline to proceed with a Pattern Call or follow-up engagement at our sole discretion if we determine, based on the conversation, that we are not a fit for your needs. We do not guarantee that booking a Pattern Call will result in a proposal or engagement.

5.  Communications Consent

By providing your contact information to us through our Website forms, scheduled-meeting booking flows, phone calls, SMS exchanges, or other channels, you consent to receive communications from us through those channels, including:

  • Email responses to your inquiry
  • SMS appointment confirmations, reminders, and follow-ups (where you have opted in)
  • Voice calls related to your inquiry or active engagement
  • Marketing communications consistent with the consent you have provided

You may withdraw consent for marketing communications at any time by:

  • Replying STOP to any SMS message
  • Clicking the unsubscribe link in any marketing email

Withdrawal of marketing consent does not affect transactional communications necessary to deliver services you have requested or engaged us to provide.

6.  SMS Terms (A2P 10DLC)

Our SMS messaging program operates in compliance with mobile carrier A2P 10DLC requirements using EIN 85-2135053.

By opting in to receive SMS messages from Consilium, you agree to:

  • Receive SMS messages from us at the phone number you provided
  • Standard message and data rates as charged by your mobile carrier (we do not charge for SMS)
  • Variable message frequency depending on your engagement with our services

Categories of SMS we send:

  • Appointment confirmations and reminders
  • Post-meeting follow-up
  • Nurture and educational content
  • Decision-gate check-ins for active client engagements
  • Re-engagement messages for inactive contacts

Your rights:

  • Reply STOP to any message to immediately opt out of all SMS communications
  • Reply HELP to receive a message with help information and our contact details

We will honor all opt-out requests immediately. We do not share mobile opt-in data or SMS consent with any third parties or affiliates for marketing or promotional purposes.

7.  AI Receptionist and Call Recording

When you call our business phone numbers (+1 864-635-4914), your call is answered by our automated AI Receptionist before being routed to a human or scheduled as a follow-up call.

By continuing your call after the AI Receptionist’s introduction, you consent to:

  • Interacting with an automated voice system
  • The call being recorded for quality assurance, service delivery, training, and improvement of our systems
  • Your call content being transcribed and retained per our Privacy Policy

You may request a human at any time by saying “speak to a human” or by describing an urgent matter (active incident, ransomware, board call, regulatory matter). You may also choose not to continue the call and instead contact us at Sales@consiliumsolutionsllc.com.

8.  Acceptable Use

You agree not to use the Website, our communication channels, or our services to:

  • Engage in any unlawful activity or activity that violates the rights of others
  • Submit false, misleading, or fraudulent information

10.  Confidentiality During Engagements

During the course of any advisory engagement, both parties may share confidential information. The specific terms of confidentiality, non-disclosure, and information handling are governed by the Statement of Work, engagement agreement, or separate non-disclosure agreement applicable to that engagement.

Information shared during an initial Pattern Call or Structured Discovery is held in confidence by Consilium and used solely for the purpose of evaluating whether we can be of assistance to you. We do not share information from these conversations with third parties except as required by law.

11.  No Professional Advice on the Website

The information provided on the Website and in any general marketing communications is for informational purposes only and does not constitute legal, financial, security, or other professional advice. You should not rely on Website content or marketing communications as the sole basis for any decision.

Advisory engagement deliverables — including written assessments, recommendations, decision frameworks, and roadmaps — are intended only for the specific client and engagement for which they were produced, and only as documented in the applicable Statement of Work. They may not be transferred, relied upon, or redistributed to third parties without our prior written consent.

You agree to defend, indemnify, and hold harmless Consilium Solutions LLC, its principals, employees, agents, and authorized service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your misuse of the Website or our services, or your violation of any law or the rights of a third party.

16.  Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or your use of the Website or our services are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Oconee County, South Carolina, and you consent to the personal jurisdiction and venue of those courts.
